Mixed · 2EQT agreed on Monday 26 October to acquire Appalachian gas producer Range Resources in an all-stock deal valued at about $12.8 billion in equity, or more than $50 billion including debt. Mixed · 2Range shareholders will receive 0.987 EQT shares for each Range share, which implies $54.91 per Range share and a premium of about 20.6% to Range's Friday closing price, according to Reuters calculations cited by Hindustan Times. Right · 1After closing, EQT shareholders are expected to own about 73% of the combined company and Range shareholders about 27%.

Centre · 1In premarket trading on Monday, EQT shares fell 4.6% while Range shares rose 10.1%. Mixed · 2The companies say the combined business would produce more than 9 billion cubic feet of gas equivalent per day, hold nearly 3 million net acres in the Appalachian Basin, have more than 30 years of drilling inventory and own about 3,700 miles of midstream infrastructure. They describe it as the largest vertically integrated US natural gas producer. Centre · 1EQT expects about $325 million in annual savings within two years from corporate operations, production activities and marketing, and says the deal would lower its free cash flow breakeven to below $2 per MMBtu.

Centre · 1Two Range representatives, including Range CEO Dennis Degner, will join EQT's board; EQT's existing executive team will lead the company, which will stay headquartered in Canonsburg, Pennsylvania. Mixed · 2The companies cite rising gas demand, including from data centres, as the backdrop for the deal. Mixed · 2The deal needs shareholder and regulatory approvals and is expected to close in the first quarter of 2027.
