The story, neutrally told

Mixed · 2Shareholders of both Fox Corp. and Roku voted on Wednesday 14 October to approve Fox's $22 billion acquisition of Roku, at separate special meetings. Mixed · 2Both outlets describe the approvals as expected. Variety says final vote tallies will be released in regulatory filings. Mixed · 2Fox announced the agreement in June. It pays $160 a share, in a mix of about $14.2 billion in cash and the rest in Fox Class A common stock, which Deadline says gives Roku an enterprise valuation of $22 billion.

Centre · 1On closing, Fox shareholders will own about 73% of the merged business and Roku shareholders about 27%, according to Deadline. Left · 1Fox expects to complete the deal in the first half of calendar 2027, subject to clearance by the Justice Department and other regulators. Mixed · 2The DOJ has issued a second request for documents. Under the Hart-Scott-Rodino Act, the waiting period then runs 30 days after the parties have substantially replied, and they cannot close the deal during that time. Fox President and COO John Nallen told investors at a media conference last month that the deal remained on track despite the request, which he called "entirely expected."

Left · 1Fox says the purchase will enlarge its streaming footprint and let it scale in free, ad-supported streaming through Tubi and the Roku Channel. It would also make Fox a bigger player in digital video advertising. Left · 1Fox CEO Lachlan Murdoch said in June the deal "will transform the scope of our company into high-growth verticals." Fox says it is committed to running Roku as an open, partner-friendly platform. Centre · 1Roku founder, chairman and CEO Anthony Wood will have an ongoing role at the combined company and will join the Fox board, according to Deadline. Deadline says Roku, founded in 2002, reaches around 100 million streaming homes and is in more than half of US broadband households.

Centre · 1Deadline places the deal in a wave of media consolidation, noting that Paramount and Warner Bros. Discovery have just closed their merger, creating the new Skydance.
